1. Acceptance of Terms

By accessing or using the website located at solutiontech-consulting.com (the “Website”), operated by Solution Tech Consulting (“STC,” “we,” “our,” or “us”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you do not agree with any provision set forth in these Terms, you must discontinue use of the Website immediately.

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and STC governing your access to and use of the Website, its content, and any related services made available through it. Your continued use of the Website following the posting of revised Terms signifies your acceptance of such changes.

Solution Tech Consulting is a North America-based technology consultancy that provides professional services to businesses and organizations. Our core service offerings include:

The Website serves as an informational resource describing our capabilities, portfolio, and areas of expertise. The delivery of professional consulting services to clients is governed by separate, individually negotiated service agreements. Nothing on this Website constitutes an offer to provide services or a binding commitment to enter into a professional engagement.

3. Use of Website

3.1 Permitted Use

You are granted a limited, non-exclusive, non-transferable, and revocable right to access and use the Website for personal, informational, and lawful business purposes. This includes browsing our service descriptions, reading published content, and submitting inquiries through designated contact mechanisms provided on the Website.

3.2 Prohibited Activities

When using the Website, you agree not to engage in any of the following activities:

4. Intellectual Property

4.1 Our Content

All text, graphics, logos, icons, images, illustrations, audio clips, video content, software, and other materials displayed on or made available through the Website (collectively, “Content”) are the property of Solution Tech Consulting or its licensors and are protected under applicable intellectual property law, international treaties and conventions, including the Berne Convention and the WIPO Copyright Treaty.

4.2 Limited License

Subject to your compliance with these Terms, STC grants you a limited, revocable, non-exclusive, and non-transferable license to access and view the Content solely for your personal, non-commercial informational purposes. This license does not include the right to modify, reproduce, distribute, publicly display, create derivative works from, or commercially exploit any Content without the prior written consent of STC.

4.3 Client Work

Ownership of deliverables, intellectual property rights, and work product created during the course of a client engagement is governed exclusively by the terms of the applicable service agreement between STC and the client. Nothing in these Terms modifies, supersedes, or otherwise affects the intellectual property provisions established in any such service agreement.

5. Service Agreements

Professional consulting services provided by STC are governed by separate written service agreements entered into between STC and each client. These service agreements define the complete terms of the engagement, including but not limited to:

  • Scope of work — A detailed description of the deliverables, milestones, and objectives for the engagement.
  • Pricing and payment schedule — The agreed-upon fees, payment milestones, invoicing procedures, and any applicable expenses.
  • Project timelines — Estimated start and completion dates, sprint cadences, and delivery checkpoints.
  • Intellectual property allocation — Clear assignment or licensing of rights to all work product, code, designs, and materials produced during the engagement.
  • Confidentiality obligations — Mutual commitments regarding the protection of sensitive business information, trade secrets, and proprietary data exchanged between the parties.
  • Termination conditions — The circumstances under which either party may end the engagement, along with notice periods, wind-down procedures, and post-termination obligations.

In the event of a conflict between these Terms and the provisions of a signed service agreement, the service agreement shall prevail with respect to the subject matter of that engagement.

6. Payment Terms

All payment obligations arising from professional engagements with STC are defined within the applicable service agreement. Unless otherwise stipulated in writing, the following general conditions apply:

  • All invoices are denominated and payable in United States Dollars (USD).
  • Payment is due within thirty (30) days from the date of invoice unless otherwise agreed in writing.
  • All stated fees are exclusive of applicable taxes. Any sales tax, use tax, or similar taxes required by law will be added to invoices where applicable.
  • Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower, calculated from the day following the payment due date.

7. Confidentiality

Both STC and its clients recognize that professional engagements may involve the exchange of confidential and proprietary information. Each party agrees to treat all non-public information received from the other party with a reasonable degree of care and to use such information solely for the purposes of fulfilling obligations under the relevant service agreement.

Confidentiality obligations do not extend to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party prior to disclosure, is independently developed without reference to the disclosing party’s information, or is required to be disclosed by law, regulation, or court order, provided that the receiving party gives prompt notice to the disclosing party where legally permitted.

Specific confidentiality terms, duration, and remedies for breach are detailed in the applicable service agreement or a standalone non-disclosure agreement between the parties.

8. Limitation of Liability

The Website and all Content provided therein are made available on an “as is” and “as available” basis. STC makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or completeness of the information presented.

To the maximum extent permitted by applicable law, STC, its directors, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Website. This includes, without limitation, damages for loss of profits, data, business opportunities, goodwill, or any other intangible losses.

In no event shall the total aggregate liability of STC for any and all claims arising from or related to the use of this Website exceed the amount of one hundred United States Dollars (USD 100). This limitation applies regardless of the legal theory on which the claim is based, whether in contract, tort, strict liability, or otherwise.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or death and personal injury caused by negligence.

9. Indemnification

You agree to indemnify, defend, and hold harmless Solution Tech Consulting, its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Website, your violation of these Terms, or your infringement of any third-party rights, including intellectual property rights.

STC reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claim.

10. Third-Party Links

The Website may contain hyperlinks to websites, platforms, or resources operated by third parties. These links are provided solely for your convenience and informational purposes. STC does not endorse, control, or assume responsibility for the content, privacy policies, practices, or availability of any third-party websites.

Your interaction with any third-party website accessed through a link on the STC Website is entirely at your own risk and subject to the terms and conditions of that third-party site. 11. Modifications to Terms

STC reserves the right to modify, amend, or replace these Terms at any time and at its sole discretion. We may also, at our discretion, notify users of significant changes through a prominent notice on the Website.

It is your responsibility to review these Terms periodically to stay informed of any updates. Your continued use of the Website after changes have been posted constitutes your acceptance of the revised Terms. 12. Termination

STC may suspend or terminate your access to the Website at any time, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to access and use the Website ceases immediately.

Provisions of these Terms that by their nature should survive termination shall remain in full force and effect, including but not limited to intellectual property provisions, limitation of liability, indemnification, and governing law.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the federal or state courts located in Delaware.

Nothing in these Terms is intended to limit or exclude any mandatory protections that may be afforded to you under the consumer protection laws of your jurisdiction of residence.

14. Dispute Resolution

In the event of any dispute arising from or relating to these Terms or your use of the Website, the parties agree to first attempt to resolve the matter amicably through good-faith negotiation. Either party may initiate this process by sending a written notice to the other party describing the nature of the dispute and the relief sought.

If an amicable resolution cannot be reached within thirty (30) days of the initial notice, either party may pursue formal legal proceedings in accordance with the governing law and jurisdiction provisions of Section 13.

15. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity or unenforceability of any single provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Solution Tech Consulting regarding your use of the Website. These Terms supersede all prior or contemporaneous communications, proposals, and representations, whether oral or written, relating to the subject matter herein.

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, or a waiver of any other term or condition. Any failure by STC to assert a right or provision under these Terms shall not constitute a waiver of that right or provision.
